Seychelles Offshore Companies
The Seychelles is an independent nation in the Indian Ocean near the coast of eastern Africa composed of several islands.
The country is a self-governing democracy and a member of the Commonwealth and the United Nations.
The Seychelles offers a wide variety of services to the international community, including offshore banking, insurance and investments. Of particular interest is the International Business Company, which is an inexpensive, flexible and simple type of company that can be used for many purposes.
- No requirement to file annual returns, accounts or financial statements.
- No requirement to hold annual general meetings of shareholders or directors.
- Full exemption from taxation on any business activity or transaction carried on outside the Republic of Seychelles.

- No minimum or maximum capital requirements.
- Shares can be issued with or without par value.
- IBC's may engage in any lawful business in any country and may carry on transactions in whatever currencies they choose.
- Nominative or bearer shares, at owner's option.
- Bearer shares do not need to be paid up for issuance thereof.
- IBC's need not have more than one director.
- The shareholders, directors, and officers may be of any nationality and may be residents of any country.
- Neither the directors nor the officers need be shareholders.
- Directors and/or officers can be either corporate entities or natural persons.
- There is no requirement to register initial or ongoing changes in directors and/or officers.
- Shareholders and/or directors may hold their meetings in any country and they may attend such meetings by proxy.
- The words "Limited" "Corporation" "Incorporated" "Societe Anonyme" or "Sociedad Anonima" "Public Limited Company" "Societe a Responsibility Limitee" "Berhad" "Proprietary" "Namloze Venootschap" "Besloten Benootschap" "Aktiengesellschaft" or "Limited Life Company" or their respective abbreviations "Ltd." "Corp." Inc." "S.A." "PLC" "S.A.R.L." "Bhd" "Pty" "N.V." "B.V." "A.G." or "L.L.C." are all acceptable corporate indicators, and are required to be at the end of any IBC name.
- Familiarity of corporate documents to international practioners (memorandum and articles of incorporation, certificate of incorporation).
- Use of apostilles for international legalization of documents.
- Incorporation can be submitted in either English or French, or in another language if accompanied by English or French translation.
- The name of the company may be expressed in any language together with its translation into, or transliteration in English or French.
An IBC, being an offshore company, is a company that cannot:
- carry on business in Seychelles;
- own an interest in immovable property situate in Seychelles, or a lease of immovable property in Seychelles;
- carry on banking as defined in the Financial Institution Act, 1984, of the Repubic of Seychelles or trust business;
- carry on business as an insurance or reinsurance company; or
- carry on business of providing the Registered Office for companies.
