In the United States, there is no such thing as a "nominee manager" or "nominee director." In practice that the Manager of the LLC will be legally required to know all the activities of the company, and will have complete authority over the company. However, the Manager is also legally required to exercise a Duty of Loyalty and a Duty of Care to the company, and will therefore be obliged to serve the Company to the best of the Manager's ability.
